Important Notice

As part of the installation process, you will be asked to accept the terms of this Software License Agreement (the "Agreement"). This Agreement is a legal contract that specifies the terms of the license and warranty and liability limitations between you and reaConverter LLC for the reaConverter Software (the "Software") and related documentation. You should carefully read the following terms and conditions before installing or using the Software. Unless you have entered into a separate written license agreement signed by reaConverter LLC providing otherwise, installation or use of the Software confirms your acceptance of the Software and indicates your agreement to be bound by these terms and conditions. If you do not agree to these terms, promptly delete and destroy all copies of the Software and related documentation in your possession.

Plain-language explanations of how licensing, activation, updates and privacy work in practice are published separately on the reaConverter Product and Licensing Information page. That page is provided for information only. It is not part of this Agreement, and in the event of any difference, this Agreement governs.

Definitions

"Licensed User" means the single individual to whom an individual license is assigned. "Hardware ID" means the identifier that the Software derives from a computer in order to identify that computer during activation. "Registration" means the association of a Hardware ID with a license. "Active Installation" means a registered installation that has not been deactivated through the reaConverter Account or by reaConverter Support.

Versions of the Software

The reaConverter Software is available in Lite, Standard, Pro, Business, Server, Developer and Trial versions. All versions of the Software are subject to the terms and conditions of this Agreement. The Standard, Pro, Business, Server and Developer versions require payment by you of a license fee. The Lite and Trial versions are the only versions provided without charge. The Trial version is not free Software and is subject to the restrictions set forth below.

UPON ORDERING, DOWNLOADING, INSTALLING OR USING ANY VERSION OF THE SOFTWARE, YOU ARE REAFFIRMING THAT YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT.

License to Use

reaConverter LLC grants you a limited, non-exclusive, non-transferable, non-sublicenseable license to use the Software. An individual license is personal to the Licensed User and may be used only by that person. It is not a multi-user license, a site license or an unlimited-device license.

The Licensed User may install and use the Software on more than one computer, subject to the Installation and Activation Limits set out below, provided that the Licensed User remains the only person using the Software. Installation or activation on additional computers does not grant any additional person the right to use the Software and does not expand the rights granted by an individual license.

You may access the Software through a network provided that you are the only person who may use it. If more than one person needs to use the Software, or if the Software is deployed for use by multiple users or automated processes, you must obtain the appropriate Business or Server license. For example, if eight different workstations will be used by eight different people, individual licenses covering all of those users are required, regardless of whether they use the Software at different times or concurrently.

You may make a reasonable number of copies of the Software solely for backup or archival purposes. The Software and documentation are protected by copyright laws and international treaty provisions. There are severe penalties, both civil and criminal, for copyright infringement. You may not use the Software other than as expressly provided herein, or re-distribute or copy all or part of the Software or related documentation except as permitted above.

Installation and Activation Limits

Each computer on which the Software is activated is identified by a Hardware ID. Registering a computer uses one Hardware ID of the allowance described in this section.

An individual license may be registered on a maximum of five (5) different Hardware IDs, and may be in active use on a maximum of two (2) computers at the same time. The five-Hardware-ID allowance is cumulative over the life of the license. Deactivating an installation releases a concurrent-use slot, but a computer that has already been registered continues to count toward the five-Hardware-ID allowance after deactivation.

The Licensed User can review and manage Active Installations, including deactivating computers that are no longer in use, through the reaConverter Account at www.reaconverter.com/account.

These limits are operational thresholds applied by the activation system. They do not enlarge the rights granted by this Agreement, and staying within them does not authorize use by more than one person.

When the allowance for a license has been reached, further activations are declined automatically and require review by reaConverter Support. Where the intended use remains within the scope of an individual license, for example ordinary replacement, repair or reinstallation of computers used by the same person, reaConverter LLC will normally authorize the additional registration at no additional charge. A separate license is required where the intended use exceeds the scope of an individual license, for example use by an additional person or deployment across additional workstations.

Repeatedly deactivating and registering computers in order to extend use beyond the scope of an individual license is a breach of this Agreement. reaConverter LLC may decline or revoke activations that are inconsistent with the license purchased.

Replacing or Retiring a Computer

If you replace a computer, you may transfer your use of the Software to the replacement computer. Where possible, deactivate the installation on the computer being retired, either through the reaConverter Account or by uninstalling the Software, before activating the replacement.

If the retired computer is no longer available, for example because it has failed, been lost, reformatted or otherwise cannot be accessed, please contact reaConverter Support. Support can deactivate the previous installation on your behalf and assist with activation of the replacement computer.

You do not need to purchase a new license solely because you replaced a computer. Where a replacement would exceed the five-Hardware-ID allowance, the review procedure described in Installation and Activation Limits applies.

Business and Server Licenses

A Business license permits use by the number of users covered by that license within a single organization. A Server license permits installation on a server and use of the Software by multiple users or by automated processes on that server, as specified by the license purchased. The installation and activation limits applicable to Business and Server licenses are those stated in the license documentation supplied with the purchase.

Developer License with Distribution Rights

reaConverter LLC grants you an unlimited, non-exclusive, non-transferable license to develop with the Software and to deploy the Software onto an unlimited number of workstations and web servers, with the condition that the application supported by the Software is the one specified by you when you order the Software.

Be aware that the Developer License is application specific. A single license can only be used for the support of a single application. If you need to distribute the software with more than one application you will need to purchase additional licenses.

Trial and Lite Versions

The Trial version is provided for evaluation purposes only and may not be used for commercial production work. It may impose functional restrictions, including limits on batch size, output or available features. You may not attempt to circumvent those restrictions or the expiry of the evaluation period.

The Lite version is provided without charge for the uses described on the reaConverter website and remains subject to this Agreement. The Lite version is not placed in the public domain and is not open-source software.

Activation

The Software may require an Internet connection in order to activate a license. Activation is used to verify the license and to apply the limits described above. Activation is separate from file conversion. If online activation cannot be completed, you may use the Manual Offline Activation procedure. That procedure allows you to generate activation information from the Software and provide it to reaConverter Support, which can then supply the Installation Key required to complete activation on the same computer.

Firewall software, antivirus or endpoint-security products, network restrictions, DNS filtering and other local security settings may interfere with online activation. An activation failure does not by itself mean that the license is invalid. If you experience an activation problem, please contact reaConverter Support before purchasing another license.

Activation transmits the information needed to identify the license and the computer, including the Hardware ID. It does not transmit the contents of the files you convert. Data handling is described in the Privacy Policy.

Updates and Support Period

A perpetual license is a one-time purchase of the right to use the licensed version under this Agreement. A perpetual license includes updates and technical support for the period stated on the purchase page at the time of purchase. After that period, the licensed version may continue to be used, while access to further updates and to technical support may require renewal. An annual license includes updates and technical support for the duration of the subscription period, and the right to use the Software ends when the subscription ends unless it is renewed.

A perpetual license does not entitle you to future major versions of the Software released outside the applicable update period. Current license types, update periods and prices are published on the purchase page and may change over time.

File Processing

The Windows desktop version of the Software processes your files locally on the computer on which it is installed. Conversion does not require your source files to be uploaded to reaConverter LLC or to any third-party conversion service.

reaConverter Online is a separate browser-based service with its own terms. Files submitted to that service are necessarily transferred to it for processing and are handled as described in the applicable service terms and in the Privacy Policy. Use of the desktop Software is not use of that service.

No Additional Rights or Licenses

This Software is confidential and copyrighted. You acknowledge and agree that except for the rights granted in this Agreement, all other rights, and all title and interest in and to the Software and derivative works thereof related documentation remain the sole and exclusive property of reaConverter LLC, including all patent, copyright, trade secret, trademark and other proprietary rights therein, and that you will not derive or assert any title or interest in or to the Software, derivative works thereof, or related documentation. Without limiting the generality of the foregoing, you do not receive any rights to any patents, copyrights, trade secrets, trademarks or other intellectual property rights to the Software or related documentation. You may not alter, merge, modify, adapt or translate the Software or related documentation, or decompile, disassemble or reverse engineer the Software or documentation or otherwise reduce the Software to a human-perceivable form, except to the extent that such acts cannot be prohibited under applicable law.

You may not remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the Software. This Agreement does not authorize you to use reaConverter LLC's name or any of its trademarks.

Term and Termination

If you have acquired the Trial version, the license granted herein shall automatically terminate fifteen (15) days after you first install such version. Subsequent downloads, installations or use of the Trial version by or for you will not extend, renew, or otherwise restart the term of the license. The license granted for the Lite, Standard or Pro version will continue until it is terminated, subject to the subscription period where an annual license has been purchased. reaConverter LLC may terminate any license granted herein if you fail to comply with the terms of this Agreement. Upon the termination of a license for any reason, you must promptly return to reaConverter LLC or destroy all copies of the Software and related documentation covered by the license.

Refunds

If the Software cannot be used and the problem cannot be resolved by technical support, you may request a refund in accordance with the refund terms published on the purchase page and applied by the payment provider that processed the order. Contacting support first is recommended, since most activation and compatibility problems can be resolved without any change to the license.

Warranty and Remedies

REACONVERTER LLC PROVIDES NO REMEDIES OR WARRANTIES, WHETHER EXPRESS OR IMPLIED, FOR THE EVALUATION VERSION. THE SOFTWARE AND DOCUMENTATION ACCOMPANYING THE TRIAL VERSION ARE PROVIDED "AS IS."

No oral or written information or advice given by reaConverter LLC, its dealers, distributors, agents or employees shall create a warranty or in any way increase the scope of this warranty. By way of example, without limitation, reaConverter LLC provides no warranties of any kind to any end-users accessing or otherwise using applications developed or otherwise obtained by you.

The warranties do not cover damage or defects caused by or related to misuse, modification, accident, negligence or misapplication. Any such misuse, modification or misapplication of the Software will void this warranty. Because programs such as this are inherently complex, reaConverter LLC does not warrant that the Software is error-free or will operate without interruption. Furthermore, reaConverter LLC does not warrant that the Software will work with any network or network application.

The Software is not designed, intended or licensed for use in hazardous environments requiring fail-safe controls, including without limitation, the design, construction, maintenance or operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, and life support or weapons systems. reaConverter LLC specifically disclaims any express or implied warranty of fitness for such purposes.

You acknowledge that due to the complexity of the Software, it is possible that use of the Software could lead to the unintentional loss or corruption of data. You assume all risks of such data loss or corruption; the warranties provided in this Agreement do not cover any damages or losses resulting from data loss or corruption.

Nothing in this Agreement limits or excludes any statutory rights that cannot be limited or excluded under the law applicable to you as a consumer.

Limitation on Liability

IN NO CASE SHALL REACONVERTER LLC OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, COVER OR CONSEQUENTIAL DAMAGES OR LOSSES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOSS OF BUSINESS, BUSINESS INTERRUPTION OR THE INABILITY TO USE EQUIPMENT OR ACCESS DATA, WHETHER SUCH DAMAGES ARE BASED UPON A BREACH OF EXPRESS OR IMPLIED WARRANTIES, BREACH OF CONTRACT, NEGLIGENCE, STRICT TORT, PRODUCT LIABILITY OR ANY OTHER LEGAL THEORY. THIS IS TRUE EVEN IF REACONVERTER LLC IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO CASE WILL REACONVERTER LLC'S LIABILITY UNDER ANY LEGAL THEORY EXCEED THE AMOUNT OF THE LICENSE FEE ACTUALLY PAID BY YOU TO REACONVERTER LLC. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE WARRANTIES IN THIS AGREEMENT FAIL OF THEIR ESSENTIAL PURPOSE.

The limited warranty, exclusive remedies and limited liability set forth above are fundamental elements of the basis of the Agreement between reaConverter LLC and you. reaConverter LLC would not be able to provide the Software on an economic basis without such limitations.

Changes to this Agreement

reaConverter LLC may update this Agreement for future versions and releases of the Software. The version of the Agreement accepted at the time of installation governs your use of that installation. The current version, with its date, is published on this page.

General

This Agreement constitutes the entire agreement between you and reaConverter LLC with respect to the Software and supersedes any prior understanding or communication. If any provision of this Agreement is held to be unenforceable, the remaining provisions remain in full force and effect. A failure to enforce any provision is not a waiver of it. You may not export or re-export the Software in violation of applicable export control laws.
