ASC is a grid of cells and SHP stores discrete features with their own attributes, so this is not a change of container: the pixels have to be traced into polygons or lines. How well that works depends entirely on the source. A classified land-cover raster vectorises cleanly, while a photographic aerial image produces a polygon for almost every cell and a file nobody can use. Both ASC and SHP are georeferenced, and the coordinate reference system is the part that usually breaks. Confirm the projection of the output rather than assuming it survived, because data that lands in the wrong part of the world still opens without an error.
